Grupo Modelo S.A.B. DE C.V. Grupo Modelo announces that the merger of Grupo Modelo, S.A.B de C.V. with Diblo, S.A. de C.V. and Dirección de Fábricas, S.A. de C.V. has been completed Mexico City, April 25th, 2013. Grupo Modelo, S.A.B. de C.V. and Subsidiaries (BMV: GMODELO) ("Grupo Modelo"), the leader in Mexico in beer production, distribution and marketing, announced today that the merger of Grupo Modelo with Diblo, S.A. de C.V. and Dirección de Fábricas, S.A. de C.V. (the Merger) has been completed. Grupo Modelo expects for the all-cash tender offer by Anheuser-Busch InBev for all of the outstanding Grupo Modelo shares it does not already own to be launched within the next few days.

Today, the Board of Directors of Grupo Modelo also unanimously agreed to accept Mr. Carlos Fernández González´s resignation as Chief Executive Officer of Grupo Modelo and to appoint Mr. Daniel del Río Benitez as the Chief Executive Officer on an interim basis, effective immediately. Mr. del Rio, previously Chief Operating Officer, will remain Chief Executive Officer of Grupo Modelo until the date when the Anheuser-Busch InBev tender offer is completed.
Separately today Anheuser-Busch InBev announced that, once the tender offer has been completed and the transaction has closed, Mr. Ricardo Tadeu will be appointed as Chief Executive Officer of Grupo Modelo and Mexico Zone President for Anheuser- Busch InBev.
An 18-year veteran of Anheuser-Busch InBev, Mr. Tadeu has held several positions in sales, logistics and finance within the company. He recently served as Business Unit President for Brazil within the Latin America North Zone and was responsible for the sales operations. He also served as Business Unit President for Hispanic Latin America. Mr. Tadeu holds an undergraduate law degree from the Universidade Cândido Mendes in Rio de Janeiro and a LLM from Harvard Law School.

Grupo Modelo, founded in 1925, is the leader in Mexico in beer production, distribution and marketing. It has a total annual installed capacity of 71.5 million hectoliters. Currently, it brews and distributes 14 brands, including Corona Extra, the number one Mexican beer sold in the world, Modelo Especial, Victoria, Pacífico and Negra Modelo.
