COMPLETION ANNOUNCEMENT VERY SUBSTANTIAL DISPOSAL IN RELATION TO THE MEDIA BUSINESS AND SPECIAL CASH PAYMENT AND CHANGE OF NAME AND CHANGE OF PRINCIPAL PLACE OF BUSINESS IN HONG KONG

References are made to the announcement of SCMP Group Limited (the "Company") dated

14 December 2015 and circular of the Company dated 19 February 2016 regarding the very substantial disposal in relation to the media business, special cash payment and termination of discloseable transaction (the "Circular"), and the announcement of the Company dated 19 February 2016 regarding the Special Cash Payment. Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.

COMPLETION OF THE DISPOSAL

The Board is pleased to announce that Completion took place on 5 April 2016 in accordance with terms and provisions of the Sale and Purchase Agreement.

SPECIAL CASH PAYMENT

The Board is also pleased to announce that the conditions to the Special Cash Payment as set out in the Circular have been fulfilled. On 22 March 2016 (the "Record Date"), there were 1,567,745,596 Shares in issue to Shareholders whose names appeared on the register of members of the Company. Accordingly, the Special Cash Payment is HK$1.594327 per Share. The cheques for the Special Cash Payment will be despatched on or around Wednesday, 6 April 2016 to the Shareholders whose names appeared on the register of members of the Company on the Record Date.

CHANGE OF NAME TO ARMADA HOLDINGS LIMITED

As Completion has now taken place, the Company will proceed to make the necessary filings and complete the relevant procedures with the Registrar of Companies in Bermuda and, thereafter, the Registrar of Companies in Hong Kong in connection with the change of the existing name of the Company to Armada Holdings Limited and, upon the name change becoming effective, the adoption of the new Chinese name "南潮控股有限公司" (for identification purpose only). The Company will make further announcements as appropriate to update shareholders on the progress of the Change of Name.

CHANGE OF PRINCIPAL PLACE OF BUSINESS IN HONG KONG

The Board also announces that the principal place of business of the Company in Hong Kong will be changed to 31/F., Kerry Centre, 683 King's Road, Quarry Bay, Hong Kong with effect from 5 April 2016.

FURTHER INFORMATION

As mentioned in the Circular, the Company continues to explore options to maximise value for Shareholders. In this regard, the Company has appointed The Hongkong and Shanghai Banking Corporation as financial adviser to assist the Company in evaluating and considering such options.

The Company would emphasise that there is no assurance that any transaction will materialise or, if it materialises, will be consummated. Shareholders of the Company and potential investors are advised to exercise caution in relation to any dealings they may undertake in the shares of the Company.
