JOINT ANNOUNCEMENT

COMPLETION OF CONNECTED TRANSACTION IN RELATION TO

THE ACQUISITION OF A LICENSED CORPORATION

Reference is made to the joint announcement of GN Holdings and GNFG dated 13 January 2020 (the "Joint Announcement") in relation to the Acquisition. Unless otherwise stated, capitalized terms used herein shall have the same meanings as defined in the Joint Announcement.

The respective boards of directors of GN Holdings and GNFG are pleased to announce that all conditions precedent of the Agreement have been fulfilled and Completion took place on 31 August 2020. Immediately following Completion, the Target Company has become an indirect wholly owned subsidiary of GNFG and an indirect non-wholly owned subsidiary of GN Holdings.

As at the date of this joint announcement, the executive directors of GNFG are Mr. Shum Kin Wai, Frankie (managing director) and Mr. Hung Sui Kwan (chief executive officer). The non-executive director of GNFG is Mr. Hung Hon Man (chairman). The independent non-executive directors of GNFG are Ms. Ng Yau Kuen, Carmen, Mr. Chan Ka Kit and Mr. Cheung Chi Kong, Ronald.
