Bradmer Pharmaceuticals Inc. (TSXV:BMR.H) entered into a letter of intent to acquire a minority stake in Galaxy Digital LP on January 9, 2018. The series of transactions contemplated by the letter of intent is intended to result in Galaxy Digital and First Coin combining to form a Galaxy Digital operating partnership that will be managed by the Principals of Galaxy Digital. Under the terms of letter of intent, the current Principals and Owners of Galaxy Digital and First Coin will continue to hold direct controlling equity interests in Galaxy Digital operating partnership, which will generally be economically equivalent to those held by Bradmer but will be exchangeable, from time to time, into common shares Bradmer, and Bradmer will be a holding company with its minority equity interest in Galaxy Digital as its only significant asset. Bradmer Pharmaceuticals Inc. (TSXV:BMR.H) entered into a definitive agreement to acquire a minority stake in Galaxy Digital LP on February 14, 2018. Post-completion, shareholders of Bradmer are expected to hold an interest of approximately 19.6% in the Galaxy Digital operating partnership, with Galaxy Digital and its employees holding approximately 78.6% and First Coin shareholders holding approximately 1.8%. Bradmer will complete a consolidation of its common shares in advance and continue out of the Province of Ontario to become a company existing under the laws of the Cayman Islands. Bradmer is expected to change its name to Galaxy Digital Holdings and to resume an active public listing on the TSX Venture Exchange. The Directors and Officers of Bradmer are still to be determined but it is anticipated that the Board will consist of a majority of independent Directors who are also independent of Galaxy Digital and its significant shareholders. The senior officers of Galaxy will be part of management team of Galaxy Digital operations, of which, Michael Novogratz will serve as Chairman and Chief Executive Officer; Richard Tavoso will serve as President; Christopher Ferraro will serve as Head of Principal Investments; David Namdar will serve as Head of Business Development; Stephen Kurz will serve as Head of Investor Relations; Sam Englebardt will serve as Head of Strategic Partnerships; Peter Wisniewski will serve as Head Trading; Frans Tjallingii will serve as Chief Executive Officer of First Coin and Kim Pillemer will serve as General Counsel. The deal is subject to satisfactory due diligence, negotiation and execution of definitive agreements, approval of shareholders of Bradmer and First Coin, completion of consolidation of shares of Bradmer, completion of the private placement of subscription receipts, receipt of all third-party authorizations, Bradmer Pharmaceuticals will have cash and positive working capital as of closing of not less than CAD 0.2 million, holders of no more than 10% of all the issued and outstanding of Bradmer having validly exercised Dissent Rights, and the receipt of all requisite regulatory and stock exchange approvals. The special meeting of Bradmer shareholders to approve the transaction will be held on May 17, 2018. As of June 11, 2018, Bradmer shareholders approved the transaction. The transaction is expected to close in the first quarter of 2018. As of February 14, 2018, Bradmer completed the private placement offering of CAD 61 million. The shares will begin trading on the TSXV on August 1, 2018, under the name of Galaxy Digital Holdings Ltd. and symbol of GLXY. The net proceeds from the private placement of CAD 305 million were used to fund the acquisition.
