Fnac Darty announces its plan to acquire Unieuro, Italy's leading electronics and household appliance retailer.

The mixed tender offer will be filed jointly by Fnac Darty and Ruby Equity Investment. The offer price is 9.0E in cash and 0.10 Fnac Darty share, valuing Unieuro at 12.0E per share.

Unieuro is the Italian leader in electronics and household appliances, with a 17% market share. Unieuro achieved sales of €2.6 billion in 2023, with a weighted average annual growth rate of 8% over the period 2016/17-2023/24. It has a dense network of integrated and affiliated stores throughout Italy, with a significant presence in the north and center of the country (71% of stores).

The combination of Fnac Darty and Unieuro would create a leader in the sale of electronics, home appliances, publishing products and services in Western and Southern Europe, with sales of over €10 billion, 30,000 employees and more than 1,500 stores.
