2. APPLICATION OF FIGTREE HOLDINGS LIMITED SCRIP DIVIDEND SCHEME TO THE FY2020 DIVIDEND

Unless otherwise defined, all capitalised terms used in this announcement shall bear the same meanings as ascribed to them in the Company's announcement dated 16 April 2014 in relation to the scrip dividend scheme (the "Announcement").

NOTICE OF RECORD DATE FOR THE FIRST AND FINAL DIVIDEND (TAX EXEMPT ONE-TIER) OF S$0.002 PER ORDINARY SHARE FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2020 ("FY2020 DIVIDEND")

NOTICE IS HEREBY GIVEN THAT the Share Transfer Books and Register of Members of Figtree Holdings Limited (the "Company") will be closed from 5.00 p.m. on 4 June 2021 ("Record Date") for the purpose of determining the entitlements of shareholders to the FY2020 Dividend which was approved by the shareholders at the Company's Annual General Meeting held on 29 April 2021.

Duly completed registrable transfers received by the Company's Share Registrar, Tricor Barbinder Share Registration Services (a division of Tricor Singapore Pte. Ltd.) of 80 Robinson Road #11-02, Singapore 068898, up to 5.00 p.m. on Record Date will be registered to determine members' entitlements to the FY2020 Dividend. Members (being depositors) whose securities accounts with The Central Depository (Pte) Limited are credited with shares of the Company ("Shares") as at 5.00 p.m. on Record Date will be entitled to the FY2020 Dividend.

The FY2020 Dividend will be paid on or around 16 July 2021.

APPLICATION OF FIGTREE HOLDINGS LIMITED SCRIP DIVIDEND SCHEME TO THE FY2020 DIVIDEND

The Board of Directors of the Company refers to the Announcement and is pleased to announce that the Figtree Holdings Limited Scrip Dividend Scheme (the "Scheme") will be applicable to the FY2020 Dividend.

Shareholders who are entitled to the FY2020 Dividend ("Entitled Shareholders") will be eligible to participate in the Scheme, subject to the terms and conditions of the Scheme.

The Notices of Election will be despatched to Entitled Shareholders on or around 14 June 2021. Entitled Shareholders may elect to participate in the Scheme in relation to all (and not part only) of the FY2020 Dividend only, or they can make a permanent election to participate in the Scheme in respect of all (and not part only) of the FY2020 Dividend and all future qualifying dividends. These options will be provided for in the Notices of Election.

No action is required if Entitled Shareholders wish to receive the FY2020 Dividend in cash.

Overseas Shareholders who wish to be eligible to participate in the Scheme should provide an address in the Republic of Singapore for the service of notices and documents by notifying the Company c/o the Share Registrar, Tricor Barbinder Share Registration Services, (a division of Tricor Singapore Pte. Ltd.), 80 Robinson Road, #11-02, Singapore 068898 or, if the Overseas Shareholder is a Depositor, to complete and submit the relevant form made available on www.sgx.com/cdp in accordance with CDP instructions, by 1 June 2021. Overseas Shareholders who have not provided the Company or the CDP, as the case may be, with an address in the Republic of Singapore by 1 June 2021 will not be eligible to participate in the Scheme for the FY2020 Dividend.

In accordance with the terms of the Scheme, the price determination period to determine the issue price ("Issue Price") for the new Shares to be allotted and issued pursuant to the Scheme in respect of the FY2020 Dividend shall commence on 3 June 2021 and end on 4 June 2021 (both dates inclusive) ("Price Determination Period"). The Issue Price shall be set at not more than ten per cent. (10%) discount to average of the last dealt price per Share on which the Shares were traded on Catalist during the Price Determination Period. For the avoidance of doubt, in the event that there is no trading in the Shares during the Price Determination Period, the Issue Price shall not exceed the last dealt price of the Shares on which the Shares were traded on Catalist, for each of the market days during a period of five (5) market days preceding the Price Determination Period. The Company will announce the Issue Price on or around 7 June 2021.
