FIERA MILANO: THE TRIBUNAL REJECTED THE REQUEST OF COMPULSORY ADMINISTRATION EXECUTIVE FUNCTIONS HAVE BEEN CONFIRMED TO THE BOARD OF THE DIRECTORS FURTHER POWERS TO THE LEGAL ADMINISTRATOR Milan, 27 January 2017. Fiera Milano announces that the outcome of the hearing held on 26 January last, with provision published today, the Tribunal of Milan - Autonomous Preventative Measures Section:

• rejected the request of the Public Prosecutor's Office to modify the measure of prevention of the Legal Administration "through the full control of the administrative bodies";

• decided that the executive and managerial functions will remain upon the Board of Directors;

• has simultaneously granted to the Legal Administrator the following powers referred to all areas of intervention of the Company: i) approval of the operational procedures relating to the measures of legality check of the administrative activity, previously entrusted to outside counsels; ii) approval of the procedures, previously entrusted to outside counsels, for the procurement of goods and services, with particular regard to the modalities and timing of contracts renewals; iii) the control of the effectiveness and rapidity of the actions taken by the Company to enhance the measures of legality check of the administrative activity, consistently with the duration of the legal administration; iv) improvement of the internal audit department, both in terms of size and quality; v) review of the audit plan and control of the relevant activity; vi) review of the organizational chart of the procurement and compliance departments of the Company; vii) appointment and revocation of the person in charge with the compliance and determination of the relevant tasks, also in relation to the procedures of reputational assessment of the suppliers and the whistleblowing policy.
