Aica Kogyo Company, Limited (TSE:4206) offered to acquire 50.1% stake in Evermore Chemical Industry Co., Ltd. (TSEC:1735) from Pou Chen Corporation (TSEC:9904) and others for approximately TWD 1 billion on November 15, 2017. Under the terms, Aica Kogyo Company, Limited will acquire 49.8 million shares at an offer price of TWD 20 per share. Pou Chen Corporation will sell 28.9 million shares of Evermore Chemical Industry to Aica Kogyo in the transaction. Post-acquisition, Aica Kogyo Company, Limited will raise voting power in Evermore Chemical Industry Co., Ltd. to 50.1%. The transaction is subject to 50.1% of Evermore Chemical Industry's shares being tendered, clearances from Taiwanese competition authorities, the Investment Commission, Ministry of Economic Affairs, the Financial Supervisory Commission and other customary conditions. The offer begins on November 17, 2017 and closes on January 5, 2018. The planned share transfer execution date is January 16, 2018.
