PROFIT WARNING

This announcement is made by ETS Group Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 17.10(2)(a) of the Rules Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited (the "GEM Listing Rules") and the Inside Information Provisions (as defined under the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the "Board") of directors (the "Directors") of the Company wishes to inform the shareholders (the "Shareholders") of the Company and potential investors that based on the information currently available to the Board and the preliminary review on the latest unaudited consolidated management accounts of the Group for the year ended 31 December 2021 ("FY2021"), the Group is expected to record a consolidated net loss attributable to the owners of the Company of not less than HK$15,000,000 for the year ended 31 December 2021 as compared to a consolidated net loss attributable to the owners of the Company of approximately HK$5,137,000 for the year ended 31 December 2020. The anticipated net loss is mainly attributable to the downward revaluation of an investment in a virtual asset exchange that provides trading and support services for institutions and the increase of expected credit loss of account and other receivables.

The Company is still in the course of finalising its consolidated financial results for FY2021. The information contained in this announcement is only based on a preliminary assessment made by the Board with reference to the unaudited consolidated management accounts of the Group for FY2021 and other information currently available to the Board, which have not been confirmed, reviewed or finalised by the auditors or audit committee of the Company as at the date of this announcement and may be subject to adjustments upon further review.

The audited results of the Group for FY2021 may differ from what is disclosed in this announcement. Shareholders and potential investors are advised to read carefully the annual results announcement of the Company for FY2021, which is expected to be published on or about 17 March 2022.
