Based on the resolution in Shareholders' meeting on June 23th,2022, the
Board was authorized to deal with whole spin-off affairs.
6.Countermeasures:
The Board resolved to set the spin-off recorded date on Oct. 1st, 2022, as
the spin-off proposal proposed.The new subsidiary will be named as Eternal
Precision Mechanics Co., Ltd.
The Board resolved to spin off TWD 0.55 billion business value (assets and
liabilities),based on the book value on spin-off recoreded date proposed
in the spin-off proposal.
7.Any other matters that need to be specified:
In the event of amendments to laws and regulations, receiving orders from
competent authorities, or other changes in the objective environment, the
chairman is authoused to act upon the spin-off affairs in advance and
subsquently ratified by the Board.
