Item 8.01 Other Events.
ERBA Diagnostics, Inc. (the "Company") has had diminishing operating revenue as
well as limited cash and cash equivalents and has been incurring operating
losses. Furthermore, the current global COVID-19 pandemic has added even greater
pressure on the Company's ability to operate efficiently. In order to obtain
relief in light of the effects of the COVID-19 pandemic the Company has applied
for a U.S. Small Business Administration loan pursuant to the Paycheck
Protection Program under the Coronavirus Aid, Relief and Economic Security Act.
In connection with the foregoing, the Company is enacting certain measures aimed
at cutting costs and attempting to address operational challenges. Consequently,
the Company has furloughed approximately 18 employees. Such employees will
receive funds equal to all accrued paid time off but will not receive any other
benefits or salary during the period of the furlough. The Company understands
how hard these changes are for the employees concerned and is committed to
helping them through this difficult time.
