GRANT OF WAIVER

UNDER RULE 14.41(A) OF THE LISTING RULES

AND

DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement of Emperor Entertainment Hotel Limited (the "Company") dated 27 December 2018 in relation to further acquisition of 5% equity interest in Luck United Holdings Limited (the "Announcement"). Unless otherwise defined, capitalised terms used herein shall have the same meanings as defined in the Announcement.

As the 5% Acquisition has been approved by way of written shareholders' approval, pursuant to Rule 14.41(a) of the Listing Rules, a circular of the Company containing, among other things, details of the Sale and Purchase Agreement, the financial information of the Target Group, the pro forma financial information of the Group assuming Completion has taken place, valuation report with respect to properties of the Target Group, and other information as required under the Listing Rules, must be despatched to the shareholders of the Company within 15 business days after publication of the Announcement. However, having taken into account of the time required on the preparation of the accountant's report of the Target Group and other relevant financial information of the Group and after discussion and agreement with the auditor, the despatch date of the circular is expected to be on or before 15 March 2019. As additional time is required to finalise the information contained in the circular, the Company has applied to the Stock Exchange for a waiver from strict compliance with Rule 14.41(a) of the Listing Rules (the "Waiver").

The Board announces that on 7 January 2019, the Stock Exchange granted the Waiver to the Company on the condition that the Company will despatch the circular on or before 15 March 2019. The Waiver is for the 5% Acquisition only and the Stock Exchange may withdraw or change the Waiver if the situation changes.
