New Trustee Appointment

At a meeting on October 11, 2022, the registrant's Board of Trustees (the
"Board") appointed Alan C. Bowser as an independent Trustee. Mr. Bowser will
commence his service on the Board on January 4, 2023. The Board has determined
that Mr. Bowser is not an "interested person" as defined in Section 2(a)(19) of
the Investment Company Act of 1940, as amended.
