Executive Management Changes at Dyckerhoff



Wiesbaden, September 18, 2013 - After the buy-out of minority shareholders by the main shareholder Buzzi Unicem SpA and the delisting of Dyckerhoff shares from the Frankfurt Stock Exchange the company's supervisory board has now approved to initiate the transformation of the company's legal form from today's corporation (Aktiengesellschaft, AG) into a future limited liability company (Gesellschaft mit beschränkter Haftung, GmbH). The new legal form shall become effective towards the end of March 2014 and will also involve changes in the company's organization and management.

The management board and the supervisory board have mutually agreed on the best of amicable terms, that management board members Dr. Stefan Fink and Dr. Stefan John will terminate their services for the company as of December 31, 2013.

Chief Executive Officer, Wolfgang Bauer, will also be terminating his services for the company on the best of amicable terms as of March 31, 2014. Mr. Bauer has been a member of the management board since October 2000 and has been serving as Chief Executive Officer since March 1, 2004. During this time he has significantly shaped the Dyckerhoff organization and made a lasting contribution to the company.

The supervisory board expresses appreciation and thanks to Mr. Bauer, Dr. Fink and Dr. John for their lasting, dedicated services which have earned each of them great credit for Dyckerhoff.

Michele Buzzi, member of the management board since January 1, 2004, will remain in his function as chief of business development. As of January 1, 2014 the executive team will be strengthened by Dirk Beese, who will become Executive Vice President (Generalbevollmächtigter) of Dyckerhoff AG and who will be appointed together with Michele Buzzi as managing director of the future GmbH. Mr. Beese is currently serving as CFO of the company's joint venture with Buzzi Unicem in the US.

Gunnar Gremlin will remain in office as Chairman of the company's Supervisory Board.
