discoverIE Group plc (LSE:DSCV) agreed to acquire Limitor GmbH from A. Rudolph, A. Fischer and U. Angermaier for €18 million on November 4, 2020. An initial cash consideration of €14.5 million to be paid on a debt free, cash free basis, before expenses. In addition, a contingent payment of up to €3.5 million will be payable subject to the business achieving certain profit growth targets over the next three years. Initial cash consideration of €14.5 million shall be funded from the existing debt facilities. Limitor will operate within the discoverIEGroup's Variohm cluster of specialist sensor businesses as part of the Design & Manufacturing division whilst retaining its distinct brand identity. For the year ending December 31, 2019, revenue of Limitor was €8.2 million and total assets were €3.9 million. A. Rudolph, the sales director and A. Fischer, the production director, will continue in their roles while U. Angermaier, the finance director, plans to retire following a period of transition. The transaction is subjected to regulatory approval expected to be received in final quarter of financial year 2020.The transaction is expected to close in February 2021. Once completed, the acquisition is expected to be enhancing to discoverIE Group's underlying earnings as well as accretive to the underlying operating margin.
