Yu Jianmo and Jin Bingduo agreed to acquire Dalian Sunlight Technology Co., Ltd. from Dalian My Gym Education Technology Co., Ltd. (SZSE:002621) for approximately CNY 250 million on July 7, 2020. The consideration amount will be paid in tranches. Post completion, Yu Jianmo will hold 90% stake and Jin Bingduo will hold 10% stake respectively in Dalian Sunlight Technology Co., Ltd. Dalian Sunlight Technology Co., Ltd. reported revenue of CNY 132.8 million, total assets of CNY 353.2 million, operating profit of CNY 20.2 million, net profit of CNY 18.04 million and net assets of CNY 316 million as of December 31, 2019. The transaction is subject to approval by shareholders of Dalian My Gym Education Technology Co., Ltd. The transaction is approved by the Board of Dalian My Gym Education Technology Co., Ltd.
