On November 14, 2022 and November 15, 2022, in connection with the private placement of shares of mandatory redeemable preferred stock, ClearBridge MLP and Midstream Fund Inc. filed a total of four Articles Supplementary with the State Department of Assessments and Taxation of Maryland ("SDAT"). Each Articles Supplementary became effective November 17, 2022, and each are attached hereto as an Exhibit and are incorporated herein by reference.
