          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers.

On February 18, 2020, the Board of Directors of Citizens Financial Services, Inc. (the "Company") elected Mickey L. Jones to serve as a Director of the Company. He was elected to serve as a member of the Company's Class 3 Directors whose terms expire in 2020. Mr. Jones (age 59) serves as Executive Vice President and Chief Operating Officer of the Company and First Citizens Community Bank ("FCCB"), the Company's bank subsidiary, and as a Director of FCCB.
