VOLUNTARY ANNOUNCEMENT APPOINTMENT OF VICE PRESIDENTS

The board (the "Board") of directors (the "Director(s)") of China Rare Earth Holdings Limited (the "Company", together with its subsidiaries, the "Group") is pleased to announce that with effect from 7 February 2018, each of Mr. Zhang Yourong, Mr. Zheng Xiaowen and Mr. Zhang Jia has been appointed as vice president of the Group.

Mr. Zhang Yourong, aged 66, has been appointed as vice president of the Group and the general manager of 宜興新威利成稀土有限公司 (Yixing Xinwei Leeshing Rare Earth Company Limited*), an indirect non-wholly owned subsidiary of the Group, and is responsible for the operations of the Group's rare earth business. He has more than 30 years of experience in rare earth industry and was once nominated as one of the most outstanding rare earth entrepreneurs in China. Previously, he was the general manager of (i) 長汀縣稀土公司 (Chang Ting County Rare Earth Company*) from 1985 to 1996; (ii) 長汀金龍稀土開發有限公司 (Fujian Changting Golden Dragon Rare-Earth Co., Ltd.*) from 1996 to 2009; and (iii) 福建省龍岩市稀土開發有限公 司 (Longyan Rare-Earth Development Co., Ltd.*) in Fujian province from 2009 to 2016.

Mr. Zheng Xiaowen, aged 36, has been appointed as vice president of the Group, and is responsible for investment and financing affairs. He is experienced in advertising and media communication and holds a bachelor's degree in management from 仰恩大

學 (Yang-En University*) in Fujian, China. Previously, he was the chairman and chief executive officer of 山蒼子（廈門）文化傳播股份有限公司 (Shancangzi (Xiamen) Culture Communications Co. Ltd.*) and an executive director and chief executive officer of KBS Fashion Group Limited, the shares of which are listed on

NASDAQ Global Select Market. He is currently the executive committee member of both 福建省廣告協會 (Fujian Advertising Association*) and 廈門市廣告協會

(Xiamen Advertising Association*), and a professional member of 中國公共關係協 會 (China Public Relations Association*).

Mr. Zhang Jia, aged 36, has been appointed as vice president of the Group, and is responsible for administration and daily operations. He previously worked in 長汀金 龍稀土開發有限公司 (Fujian Changting Golden Dragon Rare-Earth Co., Ltd.*) and was in charge of administrative and legal duties. He is experienced in business operations and work flow of the rare earth industry.
