Where capitalised terms are used in this announcement and not
otherwise defined, such capitalised terms shall bear the same
meanings as ascribed to them in the Company's announcements
on 8 April
2009, 8 June 2009 and 31 July 2009 relating to the
Warrants.
The Board of Directors of China Energy Limited (the
"Company") wishes to announce that the 10,000,000 warrants
(the "Warrants") which were issued to The Royal Bank of
Scotland N.V., Singapore Branch ("RBS N.V.") (formerly known
as ABN AMRO Bank N.V., Singapore Branch) on 7 April 2009,
have been transferred to The Royal Bank of Scotland PLC ("RBS
PLC") due to corporate restructuring of RBS N.V. and RBS
PLC.
The Board of the Company further announces that the Company
has received an undertaking from the holder of the Warrants,
RBS PLC, that it will not, and will procure an undertaking
from any subsequent transferee or assignee to the Company
that it will not, transfer or assign the Warrants to any
person referred to in Rule 812 of the Listing Manual, subject
to the conditions specified in Rule 812 of the Listing
Manual.
With the above disclosures, the Company wishes to announce
that it continues to comply with all the conditions attached
to the in-principle approval from the SGX-ST of the Company's
application for the listing and quotation of up to 10,000,000
shares upon the exercise of the Warrants received on 5
June
2009.
