NOTICE OF BOARD MEETING OF DIRECTORS

NOTICE IS HEREBY GIVEN THAT the meeting of the board of directors of China 3D Digital Entertainment Limited (the "Company") will be held at 7/F, Zung Fu Industrial Building, 1067 King's Road, Quarry Bay, Hong Kong on Friday, 5 February 2016 at 4:00 p.m. for the following purposes:-

1. To consider and approve the unaudited interim results of the Company and its subsidiaries for the six months ended 31 December 2015 and to approve the draft announcement and draft report in respect of the unaudited interim results to be published on the website of the Growth Enterprise Market of The Stock Exchange of Hong Kong Limited ("GEM") and the website of the Company;

   
   

2. To consider the payment of dividend, if any;

   
   

3. To consider the closure of the Register of Members, if necessary; and

   
   

4. To transact any other business.
