The board of directors of China Bright Culture Group announced that Mr. Tong Wing Chi ("Mr. Tong ") has tendered his resignation as a joint company secretary of the Company (the "Company Secretary"), the authorised representative of the Company ("Authorised Representative under the Listing Rules") under Rule 3.05 of the Rules (the "Listing Rules") Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Stock Exchange") as well as the authorised representative of the Company ("Authorised Representative under the Companies Ordinance") for acceptance of service of process and notice in Hong Kong on behalf of the Company in accordance with Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong), in each case, with effect from 28 February 2023. Mr. Tong has confirmed that, except for the outstanding company secretarial fees, he has no claim against the Company and he has no disagreement with the Board. Since Ms. Li Zequn ("Ms. Li"), the other joint Company Secretary of the Company, does not possess the qualifications of company secretary as required under Rule 3.28 of the Listing Rules, the Company has previously applied for, and the Stock Exchange has granted, a waiver from strict compliance with Rules 3.28 and 8.17 of the Listing Rules (the "Waiver") for a period of three years from the date of appointment of Ms. Li on 22 September 2022 (the "Waiver Period") on the conditions that (i) Ms. Li will be assisted by Mr. Tong during the Waiver Period; and (ii) the Waiver will be revoked immediately if and when Mr. Tong ceases to provide assistance to Ms. Li.

Accordingly, following the resignation of Mr. Tong from his position of a joint Company Secretary of the Company, Ms. Li shall cease to be a joint Company Secretary of the Company with effect on 28 February 2023.
