POLL RESULTS OF THE ANNUAL GENERAL MEETING HELD ON 20 MAY 2015
RESULTS OF THE AGM
The Board is pleased to announce that all the ordinary resolutions set out in the AGM Notice were duly passed by the Shareholders at the AGM held on 20 May 2015 by way of poll.
Reference is made to the circular of China Agri-Products Exchange Limited (the "Company") dated 17 April 2015 (the "Circular") containing the notice dated 17 April 2015 (the "AGM Notice") convening the annual general meeting of the Company (the "AGM") held on 20 May
2015. Capitalised terms used in this announcement have the same meanings as defined in the
Circular unless otherwise stated.
RESULTS OF THE AGM

Tricor Investor Services Limited, the Company's branch share registrar in Hong Kong, was appointed as the scrutineer for the vote-taking at the AGM.
As at the date of the AGM, the total number of issued Shares in the Company was 1,939,689,279
Shares, which was the total number of Shares entitling the holders to attend and vote on the resolutions proposed at the AGM. To the best of the knowledge, information and belief of the Board, and having made all reasonable enquiries, (i) there was no Share entitling the holder(s) to attend and abstain from voting in favour as set out in Rule 13.40 of the Listing Rules; (ii) no Shareholder was required under the Listing Rules to abstain from voting on any resolution
proposed at the AGM; and (iii) no parties has indicated his/her/its intention in the Circular to vote against or to abstain from voting on any of the resolutions proposed at the AGM.
