Contents of the report:

The Board of Chemoservis-Dwory S.A. ('Company', 'Issuer') informs that on September 17, 2018, it submitted a written statement on the evasion of the legal effects of the declaration of intent submitted under the influence of an error to BIOERG SA ul. Bekasów 74, 02-803 Warsaw (a company listed on the NewConnect alternative market - BER). The erroneous declaration of will concerned the rental and sale of movable and immovable property belonging to the Issuer, related and necessary to the implementation of the maintenance contract and repairs to Synthos Dwory 7 Sp. z o.o. Chemików 1, 32-600 Oświęcim.

According to art. 393 point 3 of the Code of Commercial Companies and Partnerships from art. 17 § 1 of the Code of Commercial Companies and § 41 para. 3 point 1 of the Articles of Association of CHEMOSERVIS - DWORY S.A., a resolution of the General Meeting is required to sell and lease the enterprise of the Company or its organized part. In this situation, i.e. at the time of legal actions, consisting in the sale of a part of the enterprise of CHEMOSERVIS-DWORY S.A. for the benefit of BIOERG S.A. the then President of the Management Board, without keeping the legal form in the form of a resolution of the General Meeting, sold the organized part of the enterprise CHEMOSERVIS-DWORY S.A. The Issuer's Management Board notified the Financial Supervision Commission in Warsaw, as well as the District Prosecutor's Office in Oświęcim about the situation.
