Amphenol Corporation (NYSE:APH) signed a definitive agreement to acquire Carlisle Interconnect Technologies Inc. from Carlisle Companies Incorporated (NYSE:CSL) for $2 billion on January 30, 2024. The purchase price is in cash, subject to customary post-closing adjustments. The acquisition of CIT will be financed through a combination of cash on hand as well as the Company?s existing credit and commercial paper facilities. The transaction is expected to be completed by the end of the second quarter of 2024 and is subject to certain regulatory approvals and other customary closing conditions. CIT is expected to be accretive to Amphenol?s earnings per share in the first year post closing, excluding acquisition-related costs. Carlisle Companies Incorporated is a manufacturer and supplier of building envelope products and solutions that enable energy efficiency in buildings. The Company operates through two segments: Carlisle Construction Materials (CCM) and Carlisle Weatherproofing Technologies (CWT). The CCM segment produces a complete line of single-ply roofing products and warranted roof systems and accessories for the commercial building industry, including ethylene propylene diene monomer (EPDM), thermoplastic polyolefin (TPO) and polyvinyl chloride (PVC) membrane, polyiso insulation, and engineered metal roofing and wall panel systems for commercial and residential buildings.
