Carasent ASA completes the acquisition of Medrave Software AB and increase share capital by issuing consideration shares

Reference is made to the stock exchange announcement on 15 December 2021 by Carasent ASA ("Carasent" or the "Company") regarding the Company's acquisition of Medrave Software AB, including its fully-owned Norwegian subsidiary Medrave Software AS (together "Medrave"). The signed acquisition was subject to customary closing conditions with expected closing during January 2022. As of today, the closing conditions have been met and the purchase price of SEK 134 million has been settled.

The share capital increase pertaining to the SEK 23.75 million reinvestment by key employees (the "Reinvestment") was resolved by the Board of Directors of the Company (the "Board") on 11 January 2022 pursuant to an authorization granted by the Company's general meeting held 27 October, 2021 (the "Authorization"). The share capital will be increased by NOK 835,684.81, divided into 627,391 shares, each with nominal value of NOK 1.332. Following registration of the share capital increase pertaining to the Reinvestment, the Company will have a share capital of NOK 105,554,537.14, divided into 79,245,148 shares, each with nominal value of NOK 1.332.

It was established by Per Stenström and Svein Gjelstad in 2007. The company is situated in Stockholm with a satellite office in Norway (Tønsberg) and has 16 employees.
