The Briscoe Law Firm, PLLC, founded by a former state prosecutor and enforcement attorney for the United States Securities and Exchange Commission, and the securities litigation law firm of Powers Taylor, LLP are investigating potential legal claims against the Board of Directors of California Pizza Kitchen, Inc. (NASDAQ: CPKI) related to the going private acquisition of California Pizza Kitchen by an affiliate of the private equity firm Golden Gate Capital.

The definitive acquisition agreement involves an all-cash transaction valued at approximately $470 million. Under the proposed buyout, California Pizza Kitchen shareholders will receive only $18.50 in cash for each share of California Pizza Kitchen/CPKI common stock they hold through a tender offer commencing no later than June 8, 2011.

The firms are investigating the fairness of the proposed transaction to California Pizza Kitchen shareholders, whether shareholders are being underpaid for their stock, and whether CPKI's Board of Directors acted in the shareholders' best interests. In particular, although the acquisition price represents an approximate 10% premium over California Pizza Kitchen's closing price the day before the announcement, CPKI's stock closed at $17.85 per share as recently as February 2011. Further, at least one analyst has set a target price of $24.00 per share for California Pizza Kitchen stock. The firms are also investigating whether California Pizza Kitchen's Board of Directors adequately considered all viable alternatives before entering into the agreement.
