byNordic Acquisition Corporation announced a private placement of 850,000 class A common shares at a purchase price of $10.00 per share for gross proceeds of $8,500,000 on February 8, 2022. The transaction included participation from Water By Nordic Ab for 425,000 shares (or up to 470,000 shares or to the extent that the underwriters exercise their over-allotment option), Bynordic Holdings Llc or 252,500 shares (or up to 275,000 shares or to the extent that the underwriters exercise their over-allotment option), byNordic Holdings II LLC or 172,500 shares (or up to 195,000 shares or to the extent that the underwriters exercise their over-allotment option). If the underwriters' over-allotment option is exercised, the company will issue a total of up to 940,000 shares.

The transaction will close simultaneously with the closing of the intial public offering.
