On March 2, 2020, the registrant issued an aggregate of 3,157,594 common shares
at $.20 per common share for the conversion of debt of $631,520.
On April 22, 2020, the registrant issued 1,600,000 common shares at $.20 per
common share for the conversion of debt of $320,000.
On May 20, 2020, the registrant issued 803,840 common shares at $.20 per common
share for the conversion of debt of $160,768.
Each of the issuances described above was made pursuant to an exemption from the
registration requirement of the Securities Act provided in Section 4(a)(2) of
the Securities Act.
