In accordance with the provisions of section 96 and 131 of the Securities Act, 2015 and clause 5.6.1(a) of the PSX Rule Book we would like to inform that the chairmen of both "Bhanero Textile Mills Ltd" and "Bhanero Energy Ltd" companies have submitted the proceeding of extra ordinary general meeting of the company held on July 14, 2022 with Hon'ble Sindh High Court, Karachi by stating that Scheme of Arrangement has been unanimously approved by the shareholders of the both companies.

You may please inform the the TRE Certificate Holders of the Exchange accordingly.
