Infinity Management LLC entered into a stock purchase agreement to acquire 20.1% stake in Bespoke Extracts, Inc. (OTCPK:BSPK) from Danil Pollack for $0.04 million on October 28, 2021. Infinity Management will acquire 50 million shares of Bespoke Extracts and one share of Series C preferred stock of Bespoke Extracts. As part of the transaction, Infinity Management will make a capital contribution to Bespoke Extracts of $4,792.29 to cover payment of the amounts due to certain creditors of Bespoke Extracts. The closing of the Transaction is subject to certain conditions including the approval of any governmental authorities as required in order to consummate the Transaction. Bespoke Extracts board has determined that the Transaction is desirable and in the best interests of its shareholders. Saul Ewing Arnstein & Lehr LLP acted as legal advisor to Bespoke Extracts.
Bespoke Extracts, Inc. operates in the regulated cannabis markets in the United States. The Company owns, manufactures, and distributes a portfolio of cannabis consumer packaged goods brands including Fresh Joints, Box-O-Joints, and Wee Joints, to licensed marijuana dispensaries across Colorado. Through its wholly owned subsidiary, Bespoke Extracts Colorado, LLC, the Company operates Wonderleaf LLC (WonderLeaf), a marijuana-infused products production facility in Aurora, Colorado.
