The supervisory board ofBercman Technologies AS (hereinafter "Bercman") decided on 18.06.2024, according to clause 5.4 of the Articles of Association and the resolutions of the General Meeting of Shareholders of 25.05.2021, to increase the share capital by EUR 2,497.60 from EUR 143,903.10 to EUR 146,400.70 by issuing 29,776 new ordinary shares with a nominal value of EUR 0.1 per share.

The share capital increase and the issuance of new shares will be carried out to exercise the stock option plan approved by the resolution of the Bercman shareholders' general meeting of 25.05.2021. The total number of 24,976 shares to be issued corresponds to the number of shares required to exercise the stock option plan. No further shares will be issued under this stock option plan.

The increase of the share capital and the issuance of new shares are addressed to the participants of the option plan approved on 25.05.2021. The option plan will exercise the options at a nominal value of EUR 0.1 per share. Option holders will pay for the new shares by a monetary payment of EUR 2,497.60. No share premium will be applied. Option holders shall pay the subscription price within three months from the date of the approval of the decision of the Supervisory Board, at the latest on 17.09.2024.

Shares issued during a share capital increase entitle the holder to a dividend from the date the share capital increase is registered in the commercial register.
