Beijing Enterprises Holdings Ltd. (SEHK:392) entered into an agreement to acquire EEW Energy from Waste GmbH from EQT Infrastructure II Fund, a fund of EQT Partners AB for €1.4 billion on February 3, 2016. Under the terms of the agreement, an amount of €200 million has been paid as deposit to an escrow account of a notary in Germany, which shall be released to the sellers upon closing; an amount equivalent to the remaining balance of the purchase price shall be paid by or on behalf of the purchasers to the sellers upon closing. Beijing Enterprises shall fund the purchase price by the facility and/or its internal resources. On February 1, 2016, Good Champion entered into a committed term loan facility with a bank as lender for a term loan facility up to an extent of €2.5 billion to finance the payment of the purchase price. For the year ended December 31, 2015, EEW Energy from Waste GmbH had profit after tax of €65.6 million and net assets of €451.9 million. The deal is subject to clearance under the German Foreign Trade and Payments Ordinance and the Federal Ministry for Economic Affairs. The transaction is expected to close end of February 2016.
