SUPPLEMENTAL AGREEMENTS RELATING TO

DISCLOSEABLE TRANSACTION

DEEMED DISPOSAL OF SUBSIDIARIES

Reference is made to the Company's announcements dated 6 June 2019 and 17 July 2019 ("Announcements") relating to the Subscription. Terms used herein shall have the same meanings as defined in the Announcements unless otherwise stated.

Pursuant to the Subscription Agreements, the Subscriber shall provide the Subscriber Loan in the total sum of HK$70 million to the Targets within 3 months after signing of the Subscription Agreements.

On 5 September 2019, the Subscriber and each of Target A and Target B entered into a supplemental agreement (the "Supplemental Agreements") pursuant to which the parties agreed that the Subscriber shall provide the Subscriber Loans to the Targets within 6 months after signing of the Subscription Agreements.

Save as amended by the Supplemental Agreements, the Subscription Agreements remain unchanged and in full force and effect.
