REVOCATION OF THE SUSPENSION OF SHAREHOLDERS' MEETING RESOLUTIONS
OF 15/06/2022
Genoa, 16 August 2022 - Banca Carige S.p.A. informs that, by an order filed today, the Court of Genoa has revoked the measure adopted under the Decree of the President of the Court of 25 July 2022, which was issued inaudita altera parte pursuant to art. 2378, paragraph 3 of the Italian Civil Code upon appeal by the shareholder Malacalza Investimenti S.r.l, whereby the Court had ordered the suspension of the effectiveness of the Shareholders' Meeting resolution of 15/06/2022, appointing the Board of Directors and waiving the liability action against former Directors.
The Bank welcomes the issuance of the aforementioned order, which allows the Board of Directors to resume its activities in view of its upcoming strategic and management commitments. In this regard, it also reserves the right to make further announcements regarding the approval of the half- year financial report as at 30 June 2022 and of the plan for the merger by absorption of Banca CARIGE into BPER Banca S.p.A.
