AVISO AOS ACIONISTAS

DIREITO DE RECESSO - TÉRMINO DO PRAZO E RESULTADO

ATACADÃO S.A. (B3: CRFB3) ("Grupo Carrefour Brasil" ou "Companhia"), em continuidade ao aviso aos acionistas divulgado em 20 de maio de 2022, por meio do qual comunicou o início do prazo para o exercício do direito de recesso decorrente da aprovação, pela Assembleia Geral Extraordinária da Companhia, realizada em 19 de maio de 2022 ("AGE"), da operação contemplada no Contrato de Compra e Venda de Ações, Incorporação de Ações e Outras Avenças (Share Purchase, Merger Agreement and Other Covenants), celebrado em 23 de março de 2021 entre, de um lado, a Companhia, como compradora, e de outro, os acionistas do Grupo Big Brasil S.A. ("Grupo BIG"), como vendedores ("Vendedores"), com a interveniência-anuência do Grupo BIG e Walmart Inc. ("Contrato de Compra e Venda"), nos termos do qual (a) os Vendedores venderam à Companhia, que, por sua vez, adquiriu dos Vendedores, ações de emissão do Grupo BIG representativas de 70% do seu capital social; e (b) as ações remanescentes de emissão do Grupo BIG foram incorporadas pela Companhia, com a emissão, em favor dos acionistas do Grupo BIG, de 116.822.430 (cento e dezesseis milhões, oitocentas e vinte e duas mil, quatrocentas e trinta) novas ações ordinárias, nominativas, escriturais e sem valor nominal de emissão da Companhia ("Operação"), vem a público divulgar que:

1. encerrou-se,em 21 de junho de 2022 ("Término do Prazo"), o período para exercício do direito de recesso pelos acionistas dissidentes das deliberações tomadas na AGE relacionadas à aprovação da Operação; e
2. até o Término do Prazo, não houve exercício do direito de recesso por parte de qualquer acionista detentor de ação de emissão da Companhia.

Desse modo, posto que o fechamento da Operação ocorreu em 06 de junho de 2022, conforme fato relevante divulgado em 07 de junho de 2022, a Companhia esclarece que não exercerá a faculdade prevista no artigo 137, §3º, da Lei nº 6.404, de 15 de dezembro de 1976, conforme alterada.

NOTICE TO SHAREHOLDERS

RIGHT TO WITHDRAW - END OF THE TERM AND RESULT

ATACADÃO S.A. (B3: CRFB3) (the "Carrefour Brasil Group" or the "Company"), in connection with the notice to shareholders disclosed on May 20, 2022, which communicated the begin of the period for the exercise of the right to withdraw resulting from the approval, by the Extraordinary General Meeting of the Company, held on May 19, 2022 (the "EGM"), of the transaction contemplated by the Share Purchase, Merger Agreement and Other Covenants entered into on March 23, 2021, between the Company, as purchaser, on one hand, and the shareholders of Grupo Big Brasil S.A. (the "BIG Group"), as sellers, on the other hand (the "Sellers"), with the intervention and consent of the BIG Group and Walmart Inc. (the "Purchase Agreement"), pursuant to which (a) the Sellers sold to the Company, which, in turn, acquired from the Sellers, shares issued by BIG Group representing 70% of its capital stock; and (b) the remaining shares issued by BIG Group were merged into the Company, with the issuance to BIG Group's shareholders of one hundred and sixteen million, eight hundred and twenty-two thousand, four hundred and thirty (116,822,430) new non-par, registered, book entry common shares of the Company (the "Transaction"), hereby publicly discloses that:

1. on June 21, 2022, the period for the exercise of the right to withdraw by dissenting shareholders of the resolutions taken in the EGM related to the approval of the Transaction ended ("End of the Term"); and
2. until the End of the Term, there was no exercise of the right to withdraw by any shareholder holding shares issued by the Company.

Thus, since the closing of the Transaction occurred on June 6, 2022, according to material fact disclosed on June 7, 2022, the Company clarifies that it will not exercise the prerogative provided for in article 137, paragraph 3, of Law 6404 of December 15, 1976, as amended.
