Changes in AS Tallinna Vesi Supervisory Council members

AS Tallinna Vesi's shareholder United Utilities has decided to recall Council member Leslie Anthony Bell and appoint Steven Richard Fraser as the new member of the Supervisory Council of AS Tallinna Vesi. Mr Leslie Anthony Bell was recalled from the Council of AS Tallinna Vesi by United Utilities on 20 January 2012 and Steven Richard Fraser was appointed to the Council of AS Tallinna Vesi by United Utilities from 21 January 2012.

Steven Fraser is Managing Director of United Utilities. He has previously worked for D.J. Ryan & Sons Limited and Bethell Power Services before joining United Utilities in 2005 in an Operations Director's role. Mr Fraser holds a MSC in Engineering Project Management. Mr Fraser does not own any shares of AS Tallinna Vesi.

According to the Articles of Association of AS Tallinna Vesi, United Utilities (Tallinn) B.V. as a majority shareholder in AS Tallinna Vesi (35,3%) has the right to appoint two Supervisory Council members of AS Tallinna Vesi and the City of Tallinn as the other majority shareholder (34,7%) also has the right to appoint two Supervisory Council members. United Utilities (Tallinn) BV also has the right to present two Supervisory Council member candidates and the City of Tallinn has the right to present one Supervisory Council member candidate to be elected by the annual general meeting of AS Tallinna Vesi shareholders, which also elects the two independent Supervisory Council members.

As of 21 January 2012 the members of AS Tallinna Vesi's Supervisory Council are Robert John Gallienne, Steven Richard Fraser (United Utilities), Simon Gardiner (United Utilities), Brendan Francis Murphy (United Utilities), Priit Lello (Tallinn City), Rein Ratas (Tallinn City), Toivo Tootsen (Tallinn City), Mart Mägi (independent) and Valdur Laid (independent).
