(1)Royalty: Approximately USD 12,000,000, to be paid completely
in three installments.
(2)Wafer purchase: Purchase price is following the terms in the agreement.
IDEXX Technologies GmbH purchases wafers with proprietary technology
of ABC-KY depends on its demand.
(3)Other products purchase: IDEXX Technologies GmbH will keep purchasing
scanner and BMB depends on its demand.
10.Concrete purpose/objective:To deepen the Company's cooperation with
IDEXX Technologies GmbH, and increase application proportion of the
Company's technology inside IDEXX Technologies GmbH.
