Ambarella, Inc. (NasdaqGS:AMBA) acquired VisLab srl from Alberto Broggi, Massimo Bertozzi, Luca Bombini, Stefano Cattani, Pietro Cerri, Rean Fedriga, Mirko Felisa, Paolo Grisleri, Paolo Medici, Pier Paolo Porta, Paolo Zani and University of Parma (sellers) for $30 million in cash on June 25, 2015. Under the transaction, 10,000 shares of VisLab will be acquired. $4 million of the consideration will be deposited in an escrow account. VisLab's 27 researchers will join Ambarella's advanced computer vision development team. Aaron Alter, Piero Venturini, Elena Ryolo, Paolo Marzano and Claudia Gregori of Legance and Wilson Sonsini Goodrich & Rosati acted as legal advisors for Ambarella. Andrea Polizzi of D'argenio Polizzi, Ruben Pescara, Gianmarco Mileni Munari and Giuseppe Cucurachi of Nunziante Magrone and Polsinelli acted as legal advisors for Vislab.
