Budapest, Kórház u. 6-12; company registration number: Cg.01-10-045985; hereinafter referred to as "ALTEO" or "Company") hereby complies with the statutory obligation to provide extraordinary information as required by Act CXX of 2001 on the Capital Market.

With reference to the announcements of the Company published on December 17, 2022 and on December 20, 2022, in which the Company explained, on the one hand, that MOL RES Investments Zártkörűen Működő Részvénytársaság (registered office: H-1117 Budapest, Dombóvári út 28; company registration number: 01-10-046154; hereinafter: "Offeror") as designated offeror under Section 68 of the Act CXX of 2001 on the Capital Market made a mandatory public purchase offer (hereinafter: "Offer") for all series "A" ordinary shares of ALTEO Plc (HU0000155726) issued by the Company with a face value of HUF 12.5 (twelve point five) each, and the Offeror submitted the Offer to the Hungarian National Bank (hereinafter: "MNB") for approval by requesting the suspension of this procedure, necessary to acquire indirect control in ALTEO's license holder subsidiaries, the Hungarian Energy and Utilities Regulatory Office (hereinafter: "MEKH") for the duration of the procedures for preliminary approval under its jurisdiction, on the other hand, the Company explained that MNB with its order no. N-KE-III-455/2022. suspended the authorization procedure for the Offer in view of the above, ongoing official procedures before the MEKH, we inform the respected Investors of the following.

The Company was informed today that MEKH has given preliminary approvals related to the acquisition of indirect control today.
