MATERIAL FACT

AES TIETÊ ENERGIA S.A. ("AES Tietê" or "Company") (B3: TIET11, TIET3, TIET4), in Compliance with paragraph 4, article 157 of Federal Law 6,404/76 and CVM Instruction 358 of January 3, 2002, and other applicable provisions, communicates to its shareholders and to the market in general that it was informed by its indirect controlling shareholder, THE AES CORPORATION ("AES"), that AES has celebrated with BNDES PARTICIPAÇÕES SA ("BNDESPAR"), a contract for the acquisition of 73.834.706 units, equivalent to 18.5% of AES Tietê's total share capital ("Transaction").

Resulting Ownership Structure and Simplified Governance

With the conclusion of the Transaction, AES will hold, through its wholly-owned subsidiaries, a total of 42.9% of the share capital of AES Tietê. As a result of the Transaction, the Shareholders' Agreement signed between AES and BNDESPAR will cease to be in force.

Finally, AES also informed, in line with AES Tietê's value generation strategy, that it plans to submit to the Board of Directors and other shareholders of the Company, in up to 6 (six) months from the Transaction closing, a proposal to list AES Tietê in the special listing segment of B3 called Novo Mercado. This initiative shall benefit the Company and its shareholders, both for the improvement of governance practices required by the Novo Mercado Regulation and for the expected increase in the liquidity of its shares.

The Company will keep its shareholders and the market in general duly informed about the development of the subject matter of this material fact.
