A-LABS CAPITAL IV CORP. SolarTempel GmbH entered into a letter of intent to acquire A-Labs Capital IV Corp. (TSXV:ALCC.P) in a reverse merger transaction on November 10, 2023. Pursuant to the terms of the LOI, A-Labs has agreed to combine with SolarTempel by way of share exchange or other similar form of transaction.
The transaction is an arm's length transaction, is intended to constitute A-Lab's ?Qualifying Transaction? for the purposes of the Exchange, with the shares of the resulting issuer of the transaction being listed on the Exchange and such resulting issuer carrying on the business of SolarTempel. Completion of the transaction is subject to a number of conditions, including Exchange acceptance and the execution of the transaction agreement.
