Serebra issued 6,304,666 Shares at a price of $0.06 per Share.
Finder's fees of $17,438 were paid in connection with the private placement.
The proceeds of the private placement will be used for general working capital. The securities in the private placement will be subject to a hold period of four months from the closing date of the private placement. Certain Insiders, Directors and Officers acquired 633,333 shares pursuant to the private placement.
