(Stock Code: 2366) FURTHER ANNOUNCEMENT RELATING TO APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

Reference is made to an announcement of SMI Culture & Travel Group Holdings Limited (the "Company") dated 20 January 2017 (the "Announcement") in relation to, among other things, the appointment of Mr. Rao Yong ("Mr. Rao") as an independent non-executive director of the Company.

The board of director (the "Board") of the Company would like to state further that Mr. Rao is an independent non-executive director, the chairman of audit committee and member of remuneration committee and nomination committee of Kaisa Group Holdings Ltd., a company listed on the main board of The Stock Exchange of Hong Kong Limited.

Save as disclosed above and in the Announcement in relation to Mr. Rao's appointment as an independent non-executive director of the Company, there is no other information to be disclosed pursuant to the requirements of the provision under rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and no other matters that need to be brought to the attention of the shareholders of the Company.
