Registration of Netia’s share capital increase and structure (4/2012)

WARSAW, Poland - January 19, 2012 - Netia SA ("Netia" or the "Company") (WSE: NET), Poland's largest alternative provider of fixed-line telecommunications services, today announced that on January 18, 2012 it received a decision of the Regional Court in Warsaw with regard to registration on January 9, 2012 of Netia's share capital increase. The registration concerns the issuance of 559,096 ordinary bearer shares series "K", with the nominal value PLN 1 per share, issued within Netia's authorized capital due to exercise of stock options granted under the Netia's performance stock option plan (see Netia's current reports No. 67/2011 dated December 8, 2011 and No. 40/2011 dated September 8, 2011).

Following the registration of the increase, the Company's share capital indicated in the Polish court amounts to PLN 391,602,064 and represents 391,602,064 shares, nominal value PLN 1 per share, including 2,263,711 ordinary bearer shares series "K", with each share entitling to one vote at Netia's general meeting of shareholders. The series "K" shares issued prior to adopting the resolution No. 29 by Netia's general shareholders meeting on May 26, 2010 were designated, in accordance with the above mentioned resolution, as series "B" shares.

The above number of Netia's share capital still includes 9,775,000 shares acquired by the Company on the main market of the Warsaw Stock Exchange in the period from 17 August 2011 to 8 November 2011 under the buy-back program, the redemption of which was adopted by resolution No. 2 of Netia's general shareholders' meeting held on December 15, 2011 (see Netia's current report No. 74/2011). The decrease of Netia's share capital by the redeemed shares will become effective as of the moment of its registration by the register court.
