AUDITED ANNUAL RESULTS ANNOUNCEMENT

AND ANNUAL REPORT

FOR THE YEAR ENDED 31 DECEMBER 2020

This announcement is made by Convoy Global Holdings Limited (the ''Company'', together with its subsidiaries, the ''Group'') pursuant to Rules 13.09 and 13.49 of the Rules (the ''Listing Rules'') Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ''Stock Exchange'') and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) (the ''SFO'').

DELAY IN PUBLICATION OF ANNUAL RESULTS

On 18th February 2021, the Company published its audited annual results for the years ended 31 December 2017, 2018 and 2019. On 18 March 2021, the Company held an annual general meeting whereby ZHONGHUI ANDA CPA Limited (the ''Auditor'') was reappointed as the auditor of the Company for the audit of the annual results for the year ended 31 December 2020 (the ''2020 Annual Results'').

As a result of the delay in the commencement of the audit of the 2020 Annual Results, the audit process for the 2020 Annual Results is still on-going. Until the audit procedures have been completed, the announcement of the audited 2020 Annual Results and the annual report for the year ended 31 December 2020 would hence be delayed.

The board of directors (the ''Board'') of the Company acknowledges that the delay in publication of the 2020 Annual Results will constitute non-compliance with Rule 13.49(1) of the Listing Rules. However, this is unavoidable due to the delay in the publications of the annual results for the prior years.

The Company will use its best endeavours to assist and cooperate with the Auditor to ensure that the 2020 Annual Results will be published as soon as practicable.

Rule 13.49(3) of the Listing Rules provides that where an issuer is unable to issue its preliminary results in accordance with Rules 13.49(1) and (2) of the Listing Rules, it must announce its results based on the financial results that have yet to be agreed with the auditor (so far as the information is available). After due and careful consideration, the Board is of the view that it would not be appropriate for the Company to publish the unaudited management accounts of the Group for the 2020 Annual Results at this stage as it may not accurately reflect the financial performance and position of the Group. Further announcement(s) will be made in accordance with the Listing Rules and the SFO to provide updates on the above matters as and when appropriate.

CONTINUED SUSPENSION OF TRADING

At the request of the Company, trading in the Company shares on the Stock Exchange was halted from 11:04 a.m. on 7 December 2017 (automatically converted to ''being suspended'' thereafter), and will remain suspended until further notice. The Company will keep the public informed of the latest developments by making further announcement(s) as and when appropriate.
