CHANGE OF SHAREHOLDINGS IN THE CONTROLLING SHAREHOLDER OF THE COMPANY

The board of directors of Honbridge Holdings Limited announces that there is a change in the shareholdings of the controlling shareholder of the Company, Hong Bridge Capital Limited. Hong Bridge Capital Limited is a private company incorporated in the British Virgin Islands and the controlling shareholder of the Company and currently holds
65.50% of the existing issued share capital of the Company.
The board of directors (the ''Board'') of Honbridge Holdings Limited (the ''Company'') was informed by Hong Bridge Capital Limited (''Hong Bridge Capital'') on 12 January 2012 that Mr. He Xuechu (''Mr. He''), an executive director and the Chairman of the Company, sold
32% interests in the issued share capital of Hong Bridge Capital to Mr. Li Xingxing (''Mr. Li'') (the ''Transaction''). To the best knowledge, information and belief of the Directors having made all reasonable enquiries, Mr. Li is a person independent to the Company, its directors, chief executive or substantial shareholder of the Company or any of its subsidiaries or an associate of any of them. The Transaction was completed on 12 January
2012.
Hong Bridge Capital is a private company incorporated in the British Virgin Islands and the controlling shareholder of the Company and currently holds 65.50% of the existing share capital of the Company.
After the Transaction, the issued share capital of Hong Bridge Capital is beneficially owned as to 68% by Mr. He and as to 32% to Mr. Li.
