Annual General and Special Meeting of Shareholders

Edmonton, Alberta, May 12, 2015 - ZCL Composites Inc. (TSX: ZCL) today announced the final voting results from its Annual General & Special Meeting of Shareholders held on May 8, 2015.

1. Election of Directors: A vote was conducted with respect to the election of the directors to hold office until the next annual meeting of shareholders. According to the proxies received, the following directors were elected to hold office until the next annual meeting of shareholders or until their successors are elected or appointed:

2. Appointment of Auditors: By vote by way of a show of hands, Ernst & Young LLP, Chartered
Accountants, were reappointed Auditor of the Corporation.
3. Stock Option Plan: At the Meeting, by way of ballot, shareholders of the Corporation also re- approved the ZCL Stock Option Plan (2015). A full copy of the plan is available on SEDAR as a
schedule to the most recent management information circular.
