EXTENSION OF LONG STOP DATE

PLACING OF NEW SHARES UNDER GENERAL MANDATE

Placing Agent

Reference is made to the announcement made by Xinhua News Media Holdings Limited (the "Company") dated 17 August 2020 in relation to the proposed placing of new Shares under the General Mandate (the "Announcement"). Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

Pursuant to the Placing Agreement, the Completion of the Placing is conditional upon the fulfillment of the conditions precedent set out in the Placing Agreement (the "Conditions Precedent") on or before 26 August 2020 (or such later date as may be agreed between the Company and the Placing Agent in writing) (the "Long Stop Date").

Given that additional time is required for the fulfilment of the Conditions Precedent, the Company and the Placing Agent, after arm's length negotiation, have agreed in writing to extend the Long Stop Date from 26 August 2020 to 2 September 2020. Save and except for the aforesaid change, all other terms and conditions of the Placing Agreement shall remain unchanged and continue in full force and effect.
