Reference is made that the Board of Directors' Meeting of Wow Factor Public Company Limited (the "Company") No.2/2022, held on 25 February 2022, has approved Crepes & Co. Development Company Limited ("Crepes & Co."), which is a subsidiary of the Company (the Company holds 99% of shares through Food Holding Company Limited) to entering into a joint investment with ONEINDRIYA Company Limited ("Co-Investor"), and establish a new joint venture company, as specified in the Electronic Company Information Disclosure (ELCID) Ref: W-AD006/2022 dated 25 February 2022.

The Company would like to inform the progress of the Joint Venture Investment as follows:

1. The Company has entered into the joint venture agreement with a Co-Investor on 20 April 2 0 2 2 and reached the abovementioned agreement to establish a joint venture company by completing the registration of the joint venture company named "DK WOW Venture Company Limited" ( " DKWOW"), in which the Company holds 7 5 % of the registered capital through Crepes & Co. (including related persons) and the Co-Investor hold 25% of the registered capital. The initial investment or registered capital is 1 2 ,0 0 0 ,0 0 0 baht (twelve million baht only), divided into 1 2 0 ,0 0 0 ordinary shares (one hundred and twenty thousand shares) with a par value of 100 baht (one hundred baht) per share.
2. On 9 June 2022, DKWOW officially opened Jardin Du Boeuf as the first pilot restaurant, located in the SOMERSET RAMA 9 hotel to provide food and beverage services. The food and beverage service in the hospitality industry will improve the business potential of the Company in the form of horizontal expansion (Horizontal Integration), which also increase the Company's revenue. Furthermore, the company has an expansion plan to open new branches to support the needs of hospitality for both Thai and international tourists.
